Terms of Service

1. Acceptance

By creating a NoLapse account you agree to these Terms. If you do not agree, do not use the service.

2. What NoLapse Does

NoLapse is a license tracking and notification platform for trades staffing agencies. We track credential expiration dates, verify license status against public state databases where available, and send automated reminders via SMS and email.

3. What NoLapse Is NOT

NoLapse is not a compliance guarantee. NoLapse is a notification and tracking tool. We do not guarantee:

• The accuracy or completeness of state database information
• That all license status changes will be detected immediately
• That automated reminders will prevent compliance failures

You are solely responsible for verifying that all workers hold valid, active licenses before placement on any job site.

4. Agency Responsibilities

By using NoLapse you agree that:

• (a) You are responsible for the accuracy of all data you enter into the system;
• (b) You have obtained proper consent from workers before adding their contact information and before sending them automated SMS messages;
• (c) You will verify license status directly with the relevant state licensing board before placing any worker on a job site;
• (d) You will not rely solely on NoLapse data to make placement decisions.

5. SMS Communications and TCPA

By adding worker phone numbers to NoLapse and enabling SMS reminders, you confirm that:

• (a) Each worker has provided prior express written consent to receive automated text messages about their license status;
• (b) You will maintain records of such consent;
• (c) You will promptly remove any worker who opts out of SMS communications.

You agree to indemnify and hold NoLapse harmless from any claims arising from SMS messages sent to workers you have added to the system.

6. Limitation of Liability

To the maximum extent permitted by law, NoLapse shall not be liable for:

• Any fines, penalties, or stop-work orders resulting from expired or invalid licenses
• Any lost contracts or business opportunities
• Any legal fees or damages arising from worker placement decisions
• Any inaccuracy in state database information
• Any failure of automated reminders to deliver

In no event shall NoLapse's total liability exceed the amount paid by you in the 12 months preceding the claim.

7. Billing and Refunds

All plans include a 14-day free trial. After the trial, you will be charged monthly or annually based on your selected plan. All charges are non-refundable except as required by law. You may cancel at any time — cancellation takes effect at the end of the current billing period.

8. Termination

We may suspend or terminate your account for violation of these Terms. You may delete your account at any time from Settings. Upon termination, your data will be deleted within 30 days.

9. Governing Law

These Terms are governed by the laws of the State of Arizona. Any disputes shall be resolved in the courts of Maricopa County, Arizona.
